TechDash End User Licence Agreement

This End User Licence Agreement (“EULA”) is a legal agreement between you and TUN Digital Ltd, trading as TechDash (“TechDash”, “we”, “us” or “our”), for your use of the TechDash desktop software application and any updates supplied to you (the “Software”).
TUN Digital Ltd is a company registered in England and Wales under company number 13464714, with its registered office at 2 Frederick Street, Kings Cross, London, United Kingdom, WC1X 0ND.
Please read this EULA carefully before installing or using TechDash.
By purchasing, downloading, installing, activating or using the Software, you agree to be bound by this EULA.
If you do not agree to this EULA, you must not install or use the Software.
1. About TechDash
TechDash is desktop software for monitoring, crawling and analysing websites and related technical information.
TechDash operates primarily on your own computer. Website crawl data and the TechDash database are generally processed and stored locally rather than on servers operated by us.
Certain functions may communicate with TechDash or third-party services, including licence activation, software updates, account management and integrations that you choose to use.
Further information about our handling of personal information is contained in the TechDash Privacy Policy.
2. Licence, not sale
TechDash is licensed to you, not sold.
Subject to this EULA and payment of all applicable charges, we grant you a limited, non-exclusive, non-transferable licence to install and use the Software for your own lawful business, professional or personal purposes.
We retain all ownership and intellectual property rights in the Software except for third-party components identified separately.
Your purchase does not transfer ownership of TechDash, its source code, trademarks, designs or other intellectual property to you.
3. Your Order
The precise licence you receive is determined by the product, plan or licence purchased by you.
Your checkout confirmation, invoice, receipt, account information or other purchase record is referred to in this EULA as your “Order”.
Your Order may specify matters including:
- the number of licensed users;
- the number of permitted devices or installations;
- the licence duration;
- any website, project or usage limits;
- the period during which you are entitled to receive software updates; and
- any additional features or entitlements included with your licence.
If there is a conflict between this EULA and your Order concerning a commercial entitlement specific to your purchase, the Order will take precedence in relation to that entitlement.
4. Permitted use
Subject to the limits of your licence, you may use TechDash to analyse and monitor:
- websites you own or operate;
- websites owned or operated by your employer or organisation;
- client websites;
- websites you are otherwise authorised to work on; and
- publicly accessible websites where your use is lawful.
Agencies, consultants and other professional users may use TechDash in connection with work performed for their clients, subject to the limits of the licence purchased.
A licence to use TechDash does not give you any rights over a third-party website or its contents.
You remain responsible for determining whether you are entitled to crawl, access, analyse, store or otherwise process information obtained from a particular website.
5. Users and devices
You must comply with any user, seat, device or installation limits specified by your Order.
Unless your Order expressly allows it, you must not:
- share a single-user licence between multiple independent users;
- make your licence credentials or licence key available to another person;
- permit more users or installations than your licence allows; or
- use technical measures to circumvent licence restrictions.
Where our licence-management system permits it, you may transfer an authorised installation from one device to another, provided that you remain within the limits of your licence.
Reasonable device replacement, operating-system reinstallation or hardware replacement does not by itself create an entitlement to additional simultaneous installations.
6. Licence activation and validation
TechDash may require activation or periodic licence validation.
For this purpose, the Software may communicate with our licensing infrastructure and transmit limited information necessary to determine whether the installation is properly licensed.
This may include:
- a licence or account identifier;
- activation information;
- Software version;
- operating system or platform information;
- information used to identify an authorised installation; and
- normal network request information such as an IP address.
Licence validation is not intended to upload your TechDash crawl database or monitor which websites you analyse.
You must not interfere with, disable, falsify or circumvent TechDash’s licence activation or validation mechanisms.
7. Software updates
Unless your Order states otherwise, a purchase of a perpetual TechDash licence includes 12 months of software updates from the date of purchase.
During your update entitlement period, you may install versions of TechDash released for your licence that are made generally available to customers with the same entitlement.
When the update entitlement period expires:
- your licence to versions of TechDash to which you were already entitled does not expire solely because your update entitlement has ended;
- you may continue using those versions, subject to this EULA; and
- you may need to purchase or renew an update entitlement to install versions released after your entitlement period.
In other words, expiry of an update entitlement does not convert an otherwise perpetual licence into a subscription.
We do not guarantee that any particular number or frequency of updates will be released during an update entitlement period.
Updates may include:
- bug fixes;
- security updates;
- compatibility changes;
- performance improvements;
- new checks or features;
- changes to existing functionality; and
- support for changes made by operating systems, browsers, APIs or other third-party technologies.
A new feature, separate product or substantially different product may be offered separately and need not be included as an update to TechDash.
8. Older versions and operating-system compatibility
Technology changes over time.
We do not guarantee that an existing version of TechDash will remain compatible indefinitely with future versions of:
- macOS;
- Windows;
- Linux distributions;
- browsers or browser engines;
- third-party APIs;
- external services; or
- other software or hardware.
We may stop maintaining or distributing obsolete versions of TechDash.
If your update entitlement has expired, compatibility with a subsequently released operating system or third-party service may require a newer version of TechDash and therefore renewal of your update entitlement.
Nothing in this section limits any statutory rights that cannot lawfully be excluded.
9. Restrictions
Except where permitted by applicable law, you must not:
- copy the Software other than as reasonably necessary to install, use or back it up;
- sell, sublicense, rent, lease, distribute or commercially provide the Software to another person;
- make TechDash available as a hosted or bureau service for use directly by unlicensed third parties;
- share, publish or distribute licence keys or activation credentials;
- remove or obscure copyright, trademark or proprietary notices;
- modify the Software or create derivative works based on it;
- reverse engineer, decompile or disassemble the Software;
- circumvent technical measures intended to enforce licence restrictions;
- use the Software to gain unauthorised access to computers, networks, websites or information;
- use the Software to circumvent authentication or access controls;
- intentionally use the Software in a manner designed to damage, overload or disrupt another system;
- use the Software in violation of applicable law; or
- use TechDash branding in a way that suggests that we endorse, certify or provide services to you or your clients where we do not.
Nothing in this EULA prohibits reverse engineering, observation, study, testing, decompilation, backup or other activity to the extent that applicable law expressly gives you a right to undertake that activity which cannot lawfully be restricted by contract.
10. Crawling and third-party websites
TechDash provides tools that allow you to make HTTP requests, render web pages, follow links and otherwise analyse websites.
You control which websites and URLs TechDash accesses.
We do not grant permission on behalf of the owners of third-party websites.
You are responsible for your use of the Software, including:
- complying with applicable laws;
- respecting authentication and access controls;
- determining whether contractual terms applicable to a website affect your proposed use;
- selecting reasonable crawl rates and concurrency;
- ensuring that your use does not intentionally impair another service; and
- obtaining any permission that is legally required.
The existence of functionality within TechDash does not represent a statement by us that every possible use of that functionality is lawful in every circumstance or jurisdiction.
11. Your data
As between you and us, we claim no ownership of the website data, project information or other content that you enter into or collect using TechDash.
Your locally stored TechDash database remains under your control.
You are responsible for:
- protecting your computer and user account;
- maintaining appropriate backups;
- deciding what information to store using TechDash;
- complying with applicable data protection and confidentiality obligations; and
- securely deleting information when it is no longer required.
We are not a backup provider for your locally stored TechDash data.
Unless a particular feature expressly provides otherwise, uninstalling TechDash, deleting its database, losing your device or suffering storage failure may result in loss of locally stored data.
12. Personal data
Your use of TechDash may involve processing information relating to other people, particularly where website content contains personal information.
Where that processing occurs locally on your computer and the information is not transmitted to us, you are responsible for determining your obligations under applicable data protection law.
The mere fact that TechDash software processes information locally does not mean that TUN Digital Ltd receives or controls that information.
Our own processing of personal information relating to customers, licence holders and users is described in the TechDash Privacy Policy.
13. Third-party services and integrations
TechDash may provide functionality that interacts with services supplied by third parties.
These may include, depending on the version and features you use:
- search engines;
- webmaster and search-console services;
- performance-testing services;
- email providers;
- messaging or notification services;
- artificial intelligence services;
- APIs;
- browsers and browser engines; and
- other online services.
Some integrations may require you to provide your own API credentials, account credentials or authorisation directly to the third-party provider.
Your use of third-party services is subject to their own:
- terms and conditions;
- privacy policies;
- acceptable-use rules;
- quotas;
- pricing;
- technical restrictions; and
- availability.
We do not control those services.
A third party may change, restrict, charge for, suspend or discontinue its service or API at any time. Such changes may cause a TechDash integration or feature to stop working or require modification.
We are not responsible for a third party’s independent acts, omissions, service availability or use of information sent to it.
14. Internet access and external costs
Some TechDash features require internet access.
You are responsible for:
- your internet connection;
- computer and operating-system costs;
- third-party service accounts;
- API charges;
- proxy charges;
- email-provider charges; and
- any other third-party costs arising from services you choose to use with TechDash.
Unless expressly stated in your Order, your TechDash licence does not include charges imposed independently by third-party providers.
15. Open-source and third-party software
TechDash may include software components licensed by third parties, including open-source software.
Those components may be subject to separate licence terms.
Where a third-party licence requires us to provide notices, attribution, source information or other rights, those requirements apply to the relevant component.
Nothing in this EULA is intended to restrict rights granted to you directly under an applicable open-source licence.
16. Intellectual property
TechDash and its original components, including its software, interface, design, branding, documentation and associated materials, are owned by or licensed to TUN Digital Ltd and are protected by applicable intellectual property laws.
TechDash, associated logos and other TechDash branding may be trademarks or trading names of TUN Digital Ltd.
Except for the limited licence expressly granted under this EULA, no rights in our intellectual property are transferred to you.
17. Feedback
If you voluntarily provide suggestions, feature requests or other feedback about TechDash, we may use that feedback to improve or develop our products.
Providing feedback does not transfer ownership of your pre-existing intellectual property to us.
You are not entitled to payment merely because we subsequently implement an idea or feature similar to something suggested in feedback.
18. Support
Any support included with your purchase will be described on our website, in your Order or in other information supplied when you purchase TechDash.
Unless expressly agreed otherwise:
- support is provided on a reasonable-efforts basis;
- we do not guarantee a particular response or resolution time;
- support does not include SEO consulting, website development or administration of your computer;
- we may require diagnostic information to investigate a problem; and
- you decide whether to provide logs, screenshots, databases or other information requested during support.
If you provide information to us for support, it will be handled in accordance with our Privacy Policy.
19. No guarantee of SEO outcomes
TechDash is an analysis and monitoring tool.
Technical findings, warnings, scores, recommendations and alerts generated by TechDash are informational.
We do not guarantee that:
- TechDash will identify every website problem;
- every alert represents a material problem;
- a website will be continuously available;
- information obtained from third parties will be accurate;
- search engines will crawl, index or rank a website in a particular way;
- implementing a recommendation will improve rankings or traffic;
- failing to implement a recommendation will reduce rankings or traffic; or
- the use of TechDash will produce any particular commercial result.
Search engines, browsers, websites, APIs and technical standards change independently of us.
You remain responsible for deciding what action, if any, to take based on information produced by TechDash.
20. Software errors and availability
Software can contain bugs and may behave differently across devices, operating systems, websites and configurations.
We use reasonable care in developing and maintaining TechDash, but we do not promise that the Software will:
- be completely error-free;
- operate without interruption;
- detect every issue;
- work with every website;
- remain compatible with every third-party service; or
- satisfy requirements that were not agreed as part of your purchase.
You should independently verify important findings before making changes that could materially affect a website or business.
21. Statutory rights
Nothing in this EULA excludes, restricts or overrides any legal right or remedy that cannot lawfully be excluded.
If you are a consumer, you may have statutory rights relating to digital content, including rights concerning satisfactory quality, fitness for a particular purpose, conformity with description and remedies where digital content is faulty.
Those rights are not replaced by this EULA.
Where there is a conflict between this EULA and a mandatory right you have under applicable consumer law, the mandatory right takes precedence.
22. Warranties
If you are a business user, then to the maximum extent permitted by law and except where expressly stated in this EULA or your Order, the Software is supplied without additional warranties, conditions or representations, whether express or implied.
We do not warrant that TechDash will be suitable for a specific technical, SEO, regulatory or commercial purpose unless we expressly agree to that requirement in writing.
Nothing in this section excludes warranties or obligations that cannot lawfully be excluded.
23. Limitation of liability
Nothing in this EULA excludes or limits liability where it would be unlawful to do so.
In particular, we do not exclude or limit liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
If you are using TechDash for business purposes
Subject to the paragraph above, we will not be liable for:
- loss of profits;
- loss of revenue;
- loss of sales;
- loss of business or business opportunity;
- loss of anticipated savings;
- loss of goodwill;
- loss of contracts;
- loss or corruption of data;
- loss arising from failure to maintain backups; or
- indirect or consequential loss,
in each case to the extent permitted by law.
Subject to liabilities that cannot lawfully be limited, our total aggregate liability arising out of or in connection with the Software, your licence or this EULA will not exceed the total amount you paid to us for the TechDash licence giving rise to the claim.
If you are a consumer
The business-user exclusions and financial cap above do not apply to the extent that applying them would unlawfully restrict your statutory rights or remedies.
If we fail to comply with this EULA, we are responsible for loss or damage that is a foreseeable result of that failure to the extent required by applicable consumer law.
We are not responsible for business losses suffered by a consumer where TechDash was purchased wholly for private use.
24. Events outside our reasonable control
We are not responsible for delay or failure caused by circumstances outside our reasonable control.
These may include:
- internet or telecommunications failures;
- electricity failures;
- cyberattacks;
- failures of third-party infrastructure;
- changes to third-party APIs or services;
- operating-system changes;
- browser changes;
- governmental action;
- natural disasters; or
- other events that we could not reasonably prevent.
This does not affect rights that cannot lawfully be excluded.
25. Suspension and termination
We may suspend licence activation or terminate your licence if:
- you materially breach this EULA;
- you deliberately circumvent our licensing mechanisms;
- a payment is reversed, refunded or remains lawfully due;
- a licence is obtained fraudulently;
- you distribute licence credentials without permission; or
- continued provision would require us to break the law.
Where a breach is capable of being remedied, we will normally give you a reasonable opportunity to remedy it before terminating your licence, unless immediate action is reasonably necessary to protect us, our systems or others.
On termination of the licence, you must stop using the Software and remove copies that you are no longer entitled to use.
Termination does not affect rights or liabilities that arose before termination.
26. Ending your use of TechDash
You may stop using TechDash at any time and uninstall the Software.
Stopping use or uninstalling TechDash does not itself create a right to a refund.
Refunds, cancellation rights and other matters relating to the purchase transaction are governed by applicable law and our Terms of Sale.
27. Changes to TechDash
We may develop, modify or discontinue features of future versions of TechDash.
We may make changes where reasonably necessary to:
- improve the Software;
- fix bugs or security vulnerabilities;
- adapt to operating-system or browser changes;
- maintain compatibility with third-party services;
- comply with legal requirements; or
- alter or improve functionality.
We will not use this clause to remove rights from a version of the Software for which you already hold a perpetual licence where doing so would be contrary to applicable law.
28. Changes to this EULA
We may update this EULA from time to time.
An updated EULA may apply to a new version or update of TechDash where you are asked to accept it before installing or using that version.
We will not retrospectively impose a materially different EULA on a perpetual version of TechDash you already lawfully use merely by changing the copy of this EULA published on our website, except where a change is required by law or is otherwise legally effective without further agreement.
The date at the top of this EULA identifies the version currently published.
29. Transfer of your licence
You may not sell, assign, sublicense or otherwise transfer your TechDash licence to another person or organisation unless:
- your Order expressly permits transfer; or
- we agree to the transfer in writing.
This does not restrict any transfer right that applicable law gives you and which cannot lawfully be excluded.
We may transfer our rights and obligations under this EULA as part of a sale, restructuring, merger or transfer of TechDash or TUN Digital Ltd, provided that doing so does not reduce any mandatory rights you have.
30. Export controls and sanctions
You must not use, export or supply TechDash in a manner that would cause you or us to breach applicable export-control, trade-sanctions or similar laws.
31. Entire agreement
If you are a business customer, this EULA, your Order and any other terms expressly incorporated into them constitute the agreement between you and us concerning your licence to use TechDash.
You acknowledge that you have not relied on statements that are not contained in those documents, except that nothing in this section excludes liability for fraud or fraudulent misrepresentation.
If you are a consumer, this section does not limit rights arising from information or representations that applicable law treats as binding.
32. Severability
If any provision of this EULA is found to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid and enforceable where permitted by law.
If modification is not possible, the affected provision will be treated as deleted.
The remaining provisions will continue in effect.
33. No waiver
If we do not immediately enforce a provision of this EULA, that does not mean that we have waived our right to enforce it later.
34. Third-party rights
Except where expressly stated otherwise, a person who is not a party to this EULA has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce it.
35. Governing law and jurisdiction
Business customers
If you use TechDash wholly or mainly for business, trade, craft or professional purposes, this EULA and any dispute or claim arising from it are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over such disputes.
Consumers
If you are a consumer, this EULA is governed by the laws of England and Wales, but you retain the benefit of any mandatory protections provided by the law applicable to you that cannot lawfully be excluded.
Nothing in this EULA prevents you from bringing proceedings in a court available to you under applicable consumer law.
