TechDash Terms of Sale

These Terms of Sale (“Terms”) apply when you purchase a licence for TechDash or any related product, update entitlement or other item sold by TUN Digital Ltd, trading as TechDash (“TechDash”, “we”, “us” or “our”).

TUN Digital Ltd is a company registered in England and Wales under company number 13464714, with its registered office at 2 Frederick Street, Kings Cross, London, United Kingdom, WC1X 0ND.

Please read these Terms before placing an order.

By placing an order with us, you agree to these Terms.

1. About TechDash

TechDash is downloadable desktop software for monitoring, crawling and analysing websites and related technical information.

TechDash is licensed rather than sold.

Your right to install and use the software is governed by the TechDash End User Licence Agreement (“EULA”).

Our processing of personal information is described in the TechDash Privacy Policy.

These Terms primarily govern the commercial transaction between you and us, including payment, delivery, updates, cancellation and refunds.

2. Who can purchase TechDash

You must be at least 18 years old and legally capable of entering into a contract to purchase TechDash.

If you place an order on behalf of a company, partnership, agency or other organisation, you confirm that you have authority to enter into the contract on its behalf.

TechDash is primarily designed for businesses and professionals, but these Terms also contain provisions applying to consumers.

In these Terms:

  • a “Consumer” means an individual purchasing wholly or mainly for purposes outside their trade, business, craft or profession; and
  • a “Business Customer” means any customer who is not a Consumer.

3. Your Order

The details of the product or licence you purchase will be shown during checkout and in your order confirmation, receipt, invoice or account.

Together, those details are referred to as your “Order”.

Your Order may specify:

  • the TechDash product or edition purchased;
  • the number of licensed users;
  • the number of permitted installations or devices;
  • website, project or other usage limits;
  • features included with the licence;
  • the duration of any update entitlement;
  • the price;
  • applicable taxes;
  • the currency; and
  • any other specific commercial terms applying to your purchase.

Please check these details before completing your purchase.

4. Prices

The price payable is the price displayed to you at checkout at the time you place your Order.

Any taxes, VAT or mandatory charges payable by you will be displayed or otherwise clearly identified as part of the purchase process where required by law.

For Consumer purchases, prices will be presented in accordance with applicable price-transparency requirements.

Where prices are displayed to Business Customers excluding VAT, this will be clearly stated.

You are responsible for any taxes, duties or charges that apply to your purchase and which we are legally entitled or required to charge or collect.

5. Payment

Payment is due at the time you place your Order unless we expressly agree otherwise.

Payments may be processed on our behalf by a third-party payment provider.

You authorise us and our payment provider to charge the payment method you provide for the amount shown at checkout.

You must provide accurate and current billing information and must be authorised to use the payment method provided.

We do not normally receive or store your full payment-card details.

6. Order acceptance

Submitting an Order does not necessarily mean that we have accepted it.

A contract between you and us is formed when we accept your Order and provide confirmation of the purchase, make the licence available to you, or otherwise begin supplying the product, whichever occurs first.

We may decline or cancel an Order before acceptance where reasonably necessary, including where:

  • payment cannot be authorised;
  • information supplied during checkout appears incorrect or fraudulent;
  • the product was offered in error;
  • a pricing or technical error has occurred;
  • the purchase would breach applicable law or sanctions requirements; or
  • we reasonably believe the Order is connected with fraud or abuse.

If we cancel an Order after taking payment but before supplying the product, we will refund the amount paid.

7. Electronic delivery

TechDash is supplied electronically.

After your Order has been accepted, we will make the software, licence, download instructions or account access available electronically.

Delivery may take place through:

  • a download page;
  • your TechDash account;
  • a licence or activation email;
  • an application download link; or
  • another electronic method described during checkout.

You are responsible for providing a valid email address and for ensuring that your computer meets the stated system requirements.

8. Software licence

Purchasing TechDash does not transfer ownership of the software to you.

Instead, your purchase grants you the right to use TechDash in accordance with:

  1. your Order;
  2. these Terms; and
  3. the TechDash EULA.

The EULA contains important provisions concerning permitted use, licence activation, users and devices, intellectual property, third-party services, prohibited uses and liability relating to use of the software.

You must comply with the EULA while using TechDash.

9. Perpetual licences

Where your Order describes your TechDash licence as perpetual, the licence does not expire merely because an update entitlement or support period expires.

Subject to the EULA, you may continue using versions of TechDash to which your licence entitles you for as long as you wish.

A perpetual licence does not mean that you are entitled to every future version, upgrade, feature or product released by us.

10. Included updates

Unless your Order expressly states otherwise, a new perpetual TechDash licence includes 12 months of software updates from the date of purchase.

During that period, you may install TechDash updates released for customers with the same entitlement.

The update entitlement relates to your ability to access new versions. It does not limit your right to continue using versions to which you became entitled while your update entitlement was active.

We do not guarantee:

  • a particular number of updates;
  • a particular release schedule;
  • that every requested feature will be added; or
  • that every new product or separately charged feature will form part of TechDash updates.

11. Expiry of the update entitlement

When your included update entitlement expires:

  • your existing perpetual licence continues;
  • you may continue using entitled versions of TechDash;
  • your licence does not automatically become invalid; and
  • access to versions released after the expiry date may require purchase or renewal of an update entitlement.

Unless your Order expressly states otherwise, the expiry of your update entitlement does not create an obligation to renew it.

12. Update entitlement renewals

We may offer the ability to renew an expired or expiring update entitlement.

The price, duration and terms of renewal will be those presented to you when you choose to renew.

Renewing an update entitlement does not replace your underlying perpetual licence.

Unless the purchase process clearly states that you are purchasing a recurring subscription and you expressly agree to recurring billing, an update entitlement will not automatically renew.

If we offer automatic renewal in future, the renewal frequency, price and cancellation arrangements will be made clear before you agree to it.

13. Changes to prices

We may change the prices of TechDash, update renewals or other products for future purchases.

A change to our published prices does not retrospectively alter the price of an Order you have already completed.

Where you have expressly agreed to a recurring purchase, any price-change rights applicable to that arrangement will be disclosed as part of the terms of that purchase and will be subject to applicable law.

14. Promotions and discount codes

We may occasionally offer discounts, promotional pricing or coupon codes.

Unless stated otherwise:

  • promotions are available for a limited period;
  • promotions cannot be exchanged for cash;
  • only one promotional offer may be used per Order;
  • promotional codes must be used during checkout;
  • promotions may apply only to particular products or customers; and
  • promotions cannot normally be applied retrospectively to completed Orders.

We may withdraw or correct a promotion where it was published in error, provided that this does not affect a completed Order that we have already accepted unless permitted by law.

15. System requirements and compatibility

Before purchasing TechDash, you should review the current system requirements and supported operating systems stated on our website.

TechDash may not operate on unsupported devices or operating systems.

Compatibility requirements may change for future versions as operating systems, browsers and other technology develop.

A perpetual licence does not guarantee that an old version of TechDash will remain compatible indefinitely with future operating systems, computers or third-party services.

Where continued compatibility requires a newer version released after your update entitlement expired, you may need to renew your update entitlement to obtain that version.

This does not affect statutory rights that cannot lawfully be excluded.

16. Third-party services

Some TechDash functionality may interact with external APIs, search engines, email providers, messaging platforms or other third-party services.

Unless expressly included in your Order:

  • accounts with those services are not included in your TechDash purchase;
  • third-party usage charges are not included;
  • API quotas are not supplied by us; and
  • you are responsible for complying with the third party’s own terms.

Third-party services may change, restrict, suspend or discontinue their APIs or functionality independently of us.

Further provisions concerning third-party integrations are contained in the EULA.

17. Consumer right to cancel before digital delivery begins

If you are a Consumer purchasing TechDash online, you would ordinarily have a statutory period in which you may cancel certain distance contracts.

Different rules apply where digital content is supplied immediately.

Where you ask us to provide TechDash before the end of the statutory cancellation period, we will ask you to:

  • expressly consent to the supply of the digital content beginning immediately; and
  • acknowledge that you will lose your statutory right to cancel once the download or supply of the digital content begins.

If you give that consent and acknowledgement and we begin supplying TechDash, your statutory right to cancel the digital-content purchase will end as provided by applicable law.

If we fail to obtain the consent or acknowledgement required by law, your statutory cancellation rights will not be affected by this section.

18. Suggested checkout acknowledgement for Consumers

Where required, the checkout process may ask you to confirm wording substantially equivalent to:

I consent to TechDash being supplied immediately and acknowledge that I will lose my statutory 14-day right to cancel once the download or supply of the software begins.

That consent must be given as part of the purchase process where required and is separate from simply accepting these Terms.

Details of that consent and acknowledgement may also be included in your order confirmation.

19. Refunds where you change your mind

For Business Customers, purchases of electronically supplied TechDash licences are generally non-refundable once the licence or software has been supplied, except where:

  • we expressly offer a refund or money-back guarantee;
  • these Terms state otherwise; or
  • applicable law requires a refund.

For Consumers, your statutory cancellation rights are described above.

Where a Consumer has expressly requested immediate supply and acknowledged the loss of the cancellation right, we are not required to provide a change-of-mind refund after digital supply has begun unless otherwise stated or required by law.

We may choose to provide a discretionary refund in circumstances where we are not legally required to do so. Doing so on one occasion does not create an obligation to provide similar refunds in future.

Nothing in this section affects your rights where TechDash is faulty or does not conform to the contract.

20. Faulty software and Consumer rights

If you are a Consumer, UK consumer law provides statutory rights in relation to digital content.

TechDash must meet requirements imposed by applicable law, including requirements relating to matters such as:

  • satisfactory quality;
  • fitness for a particular purpose where applicable; and
  • conformity with its description.

Where digital content does not conform to the contract, you may have statutory remedies including repair or replacement and, in appropriate circumstances, a price reduction or refund.

Nothing in these Terms or the EULA excludes or limits a Consumer right that cannot lawfully be excluded or limited.

Your statutory rights are separate from any voluntary warranty, refund policy or support arrangement we may offer.

21. Refund payments

Where you are entitled to a refund, we will normally refund the payment using the same payment method used for the original transaction unless another method is agreed or reasonably necessary.

We may ask for sufficient information to identify the original purchase.

The time taken for a refund to appear in your account may also depend on your bank, card issuer or payment provider.

22. Chargebacks and payment disputes

If you believe a payment has been made incorrectly or there is a problem with your purchase, please contact us at hello@techdash.com so that we can try to resolve it.

We reserve the right to suspend a licence associated with:

  • a fraudulent payment;
  • an unauthorised payment;
  • a payment that is validly reversed; or
  • a charge that remains lawfully unpaid.

We will not suspend or terminate a licence merely because you exercise a legitimate statutory right to dispute a payment or seek a remedy.

23. Licence misuse

The circumstances in which we may suspend or terminate a TechDash licence for misuse are set out in the EULA.

These may include deliberate licence sharing, circumvention of licence restrictions, fraudulent acquisition of licences or material breach of the EULA.

Termination for breach does not affect any refund or other right that applicable law gives you.

24. Your responsibility for Order information

You are responsible for ensuring that information supplied when placing an Order is accurate.

Please contact us if you need to correct relevant account or licence information.

We are not responsible for delay or failed delivery caused solely by incorrect contact information supplied by you where we have taken reasonable steps to fulfil the Order.

25. Security and fraud prevention

We may use reasonable measures to prevent fraudulent payments, stolen licence keys, payment abuse and unauthorised licence use.

An Order may be delayed, declined or reviewed where reasonably necessary for fraud-prevention or security purposes.

We will process personal information used for those purposes in accordance with our Privacy Policy.

26. Intellectual property

Purchasing TechDash gives you a licence to use the software. It does not transfer our intellectual property rights to you.

Ownership, permitted use and restrictions relating to TechDash are governed principally by the EULA.

27. Our responsibility to Business Customers

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot lawfully be excluded or limited.

Subject to the above, where you are a Business Customer, we will not be liable under these Terms for:

  • loss of profits;
  • loss of revenue;
  • loss of business;
  • loss of anticipated savings;
  • loss of goodwill;
  • loss of business opportunity; or
  • indirect or consequential loss,

to the extent permitted by law.

Subject to liabilities that cannot lawfully be limited, our total aggregate liability arising out of an Order or these Terms will not exceed the total amount paid by you under the Order giving rise to the claim.

Separate provisions governing liability arising from your use of the Software are contained in the EULA.

28. Our responsibility to Consumers

Nothing in these Terms excludes or limits any liability to a Consumer where doing so would be unlawful.

If we fail to comply with these Terms, we are responsible for loss or damage that is a foreseeable consequence of our breach to the extent required by applicable law.

We are not responsible for business losses suffered by a Consumer where TechDash was purchased wholly for private use.

Nothing in these Terms affects your statutory rights.

29. Events outside our reasonable control

We are not responsible for a delay or failure caused by events outside our reasonable control.

These may include failures of internet or payment infrastructure, cyberattacks, third-party service outages, governmental action, natural disasters or other events that we could not reasonably prevent.

If such an event materially prevents us from fulfilling an Order, we will take reasonable steps to resolve the situation and will provide any remedy required by applicable law.

30. Changes to these Terms

We may change these Terms for future Orders.

The Terms applying to your purchase are normally the version in effect when your Order is placed.

Publishing a new version of these Terms does not retrospectively alter the material commercial terms of an already completed Order.

Different terms may apply to a later purchase, upgrade or renewal and will be made available before you make that purchase.

31. Relationship between these Terms, the EULA and your Order

Your purchase may be governed by:

  • these Terms of Sale;
  • the TechDash EULA;
  • your Order; and
  • any additional terms expressly agreed between you and us.

These documents perform different functions.

Your Order defines the specific product and commercial entitlements you purchased.

These Terms govern the purchase transaction.

The EULA governs your installation and use of the Software.

If there is a conflict:

  • your Order takes precedence regarding the specific price, licence quantity, update period or other commercial entitlement expressly stated in that Order;
  • these Terms take precedence regarding payment, delivery, cancellation and refund matters; and
  • the EULA takes precedence regarding permitted and prohibited use of the Software.

32. Entire agreement for Business Customers

If you are a Business Customer, your Order, these Terms and the EULA constitute the agreement between you and us concerning the purchase and use of TechDash, together with any other document expressly incorporated into them.

You acknowledge that you have not relied upon a statement that is not contained in those documents, except that nothing in this section excludes liability for fraud or fraudulent misrepresentation.

If you are a Consumer, nothing in this section limits any right arising from information or representations that applicable consumer law treats as binding.

33. Severability

If any part of these Terms is found to be invalid, unlawful or unenforceable, it will be treated as modified to the minimum extent necessary to make it valid and enforceable where legally possible.

If that is not possible, the relevant provision will be treated as deleted.

The remainder of these Terms will continue to apply.

34. No waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

35. Third-party rights

Except where expressly stated otherwise, a person who is not a party to the contract between you and us has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

36. Governing law and jurisdiction

Business Customers

If you are a Business Customer, these Terms and any dispute or claim arising out of or relating to them are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any such dispute.

Consumers

If you are a Consumer, these Terms are governed by the laws of England and Wales, but you retain the benefit of any mandatory protections provided by applicable consumer law which cannot lawfully be excluded.

Nothing in these Terms prevents you from bringing proceedings in a court available to you under applicable consumer law.

37. Complaints

If you have a problem with an Order or purchase, please contact us so that we can try to resolve it.

Nothing in this section affects any right you have to pursue another remedy or contact an appropriate regulator or dispute-resolution body.
